Terms of Use

These Terms of Use (“Terms”) are a binding agreement between you and OdysseyDevelopments LLC (“Company,” “we,” “us,” or “our”) for SpendMe, including the iOS application, www.spendme.org, and related services (collectively, the “Service”). Effective date: October 21, 2026.

1. Acceptance

By accessing or using the Service, creating an account, joining the waitlist, or tapping agree in the app, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old (or the age of majority in your state) and able to form a binding contract. The Service is not directed to children, and we do not knowingly allow anyone under 18 to use it. The app does not verify age; if we learn that a user is under 18, we may close the account.

3. License

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the SpendMe app and to access the website for their intended purposes. You may not copy, modify, reverse engineer, resell, scrape, or misuse the Service except as permitted by law.

5. Subscriptions and purchases

Paid features (SpendMe Pro) are sold through Apple's App Store. Prices are shown in the app in your local currency and may change or differ by country. Payment, renewal, cancellation, refunds, and family sharing are governed by Apple's terms, including Apple's standard Licensed Application End User License Agreement, which applies to the app in addition to these Terms. Pro access is confirmed by checking your purchase with Apple; use Restore purchases in the app if your status looks incorrect.

From time to time we may run limited promotions (for example, lifetime Pro for the first 50 signed-in users at launch). Promotional access is granted on our servers when you qualify; it is not an App Store purchase, is not transferable, has no cash value, and is subject to availability and these Terms.

6. Bank linking

Optional bank import uses Plaid. Free includes one linked bank (with the supported accounts and cards you select); Pro includes unlimited banks. If Pro ends, banks beyond the Free limit stop updating, keep their last saved balances, and are scheduled for removal, with the date shown in the app, unless you resume Pro first. By linking an account, you authorize us and Plaid to access and process financial data as described in our Privacy Policy and Plaid's end-user privacy policy. We do not store your bank login password. You may disconnect banks at any time in app settings, which also removes the transactions imported from that bank.

7. Ask, the AI money coach

Ask works with your permission: nothing is sent to an AI provider until you allow it, and you can turn it off in Settings.

Ask is an AI feature that answers questions about your money using the data in your account and automated models. Ask is not a licensed financial, investment, tax, or legal advisor, and its answers (including spoken answers and affordability checks) are estimates, not advice. You are responsible for decisions you make. Changes Ask proposes to your data are saved only after you confirm them. Ask has daily usage limits that depend on your plan (currently 3 a day on Free and 25 a day on Pro), and we may change them. The Service, including software, design, logos, and content we provide, is owned by Company or its licensors and protected by intellectual-property laws. “SpendMe” and related marks are our trademarks. Feedback you send may be used to improve the Service without obligation to you.

The Service is a personal organization tool, not professional financial, tax, legal, or investment advice. See our Disclaimer. THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA WILL BE ACCURATE OR COMPLETE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPANY AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law. Nothing in these Terms limits liability that cannot be limited under Florida law, including liability for fraud or willful misconduct where not permitted to be excluded.

12. Indemnification

You will defend, indemnify, and hold harmless Company and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right, to the extent permitted by law.

13. Suspension and termination

We may suspend or terminate access if you breach these Terms, if required by law, or to protect the Service or other users. You may stop using the Service at any time. Sections that by their nature should survive (including disclaimers, limitations, indemnity, and governing law) survive termination.

14. Changes

We may update these Terms. We will post the revised Terms on this page and update the effective date. Material changes to the app may also be communicated in-product. Continued use after changes become effective constitutes acceptance. If you do not agree, stop using the Service and delete your account.

15. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules that would apply another state's laws. You and Company agree to the personal jurisdiction of the state and federal courts located in Florida for disputes that are not subject to arbitration (if we add arbitration in the future, we will update this section).

Before filing a claim, you agree to email spendmeapp@outlook.com and attempt to resolve the dispute informally within thirty (30) days. Florida consumers may also contact the Florida Attorney General's consumer protection resources for information about their rights under Florida law, including the Florida Deceptive and Unfair Trade Practices Act (FDUTPA), where applicable.

16. Electronic communications

You consent to receive communications from us electronically (email, in-app notices, and postings on the website). You agree that electronic communications satisfy any legal requirement that such communications be in writing, to the extent permitted by law.
